The website ymc.capital is made available for informational purposes only. Access to this website does not create an advisory, fiduciary, or other professional relationship between YMC Capital and any user.
2. No Investment Advice
Nothing on this website constitutes investment, financial, legal, tax, or other professional advice. The information provided is general in nature and does not take into account your individual circumstances, objectives, or risk tolerance.
You should obtain independent professional advice before making any investment decision. YMC Capital accepts no responsibility for decisions made in reliance on information published on this website.
3. Not an Offer or Solicitation
Nothing on this website constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or other financial instrument in any jurisdiction. Any such offer is made only by means of a duly authorised offering document (such as a Private Placement Memorandum or Supplement) in jurisdictions where the offer is lawfully permitted.
The availability of this website in any jurisdiction does not constitute an offer or solicitation in that jurisdiction.
4. Qualified and Professional Investors Only
This website, the investor portal, and any offering documents are intended only for, and access is restricted to, qualified, professional, accredited, sophisticated, and institutional investors as defined by applicable law in your jurisdiction. By accessing this website you represent that you meet the applicable criteria, including:

Important
The information on this website does not constitute an offer and is restricted to qualified investors. You should obtain independent professional advice before making any investment decision.
5. Investor Portal and Account Security
Access to the investor portal is granted to verified investors and their authorised representatives following our assessment and onboarding process. If you are granted access, you agree to:
- keep your login credentials confidential and not share them or permit others to use your account;
- access only the data rooms and documents made available to you, and not attempt to access, probe, or interfere with any other account, system, or data;
- provide accurate, current, and complete information for know-your-customer, anti-money-laundering, sanctions, and tax-transparency (FATCA/CRS) purposes, and update it when it changes; and
- notify us promptly of any unauthorised use of your account or any security concern.
We may suspend or revoke access at any time, including where required by law, on suspected misuse, or where onboarding cannot be completed. You are responsible for activity under your account.
6. Confidentiality of Documents
Materials made available through the portal or in any data room — including offering documents, financial information, and other non-public materials — are confidential and provided to you solely to evaluate a potential or existing investment. You may not reproduce, distribute, publish, or disclose them to any third party without our prior written consent, and you must return or destroy them on request. These obligations are in addition to, and do not replace, any confidentiality or non-disclosure agreement you have signed.
7. Sanctions and Lawful Use
You represent that you are not subject to, owned or controlled by a person subject to, or acting on behalf of a person subject to, any applicable sanctions, and that your funds are not derived from unlawful activity. You agree to use this website and the portal only for lawful purposes and not to upload malicious code, attempt to gain unauthorised access, scrape data, or otherwise compromise the integrity or security of our systems.
8. Communications and Anti-Impersonation
You consent to receiving communications from us electronically, including by email and through the portal. We do not solicit investment, capital calls, or wire instructions through consumer messaging apps, and we will never ask you to transmit funds other than under an executed subscription agreement processed by our independent fund administrator. Please review our imposter notice and verify any contact claiming to represent us.
9. No Warranty
This website, the portal, and all information, tools, and content within them are provided on an “as is” and “as available” basis without warranty of any kind, express or implied. YMC Capital makes no warranty that:
- the website or portal will be available uninterrupted or error-free;
- information on the website is accurate, complete, or up to date; or
- the website is free from viruses or other harmful components.
10. Limitation of Liability
To the fullest extent permitted by applicable law, YMC Capital Limited, its affiliates, directors, officers, employees, and agents shall not be liable for any loss or damage (including direct, indirect, incidental, special, consequential, or punitive damages) arising from:
- your use of, or inability to use, this website, the portal, or any content;
- any reliance on information contained on this website;
- any investment decision made in connection with this website; or
- any unauthorised access to or alteration of your data or transmissions.
Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded.
11. Indemnity
You agree to indemnify and hold harmless YMC Capital Limited, its affiliates, and their respective directors, officers, employees, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising out of your breach of these terms, your misuse of the website or portal, or your violation of any law or the rights of a third party.
12. Intellectual Property
All content on this website — including text, graphics, logos, data, software, and design — is the property of YMC Capital Limited or its licensors and is protected by applicable intellectual-property laws. You may view and print pages for your own personal, non-commercial use only. Any other use requires our prior written consent.
13. Third-Party Links
This website may contain links to third-party websites. YMC Capital is not responsible for the content, accuracy, or practices of any third-party website, and inclusion of a link does not imply endorsement.
14. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of these terms.
15. Governing Law and Jurisdiction
These Terms of Use are governed by and construed in accordance with the laws of the British Virgin Islands. The courts of the British Virgin Islands have exclusive jurisdiction over any dispute arising from these terms or your use of this website, save that we may bring proceedings in any other jurisdiction where you are located or hold assets, and nothing in this clause limits any mandatory consumer or data-protection rights available to you under local law.
16. General
If any provision of these terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right is not a waiver of it. You may not assign your rights under these terms; we may assign ours to an affiliate or successor. These terms, together with the Privacy Policy and any agreement you sign with us, constitute the entire agreement between you and us regarding the website and portal.
17. Changes to These Terms
YMC Capital may update these Terms of Use at any time. Updated terms are effective immediately upon posting, and the “Last updated” date above will reflect the most recent revision.
