Questions people ask us.
Each one answered in a couple of sentences, from what we do every day.
Marshall Islands companies
- How do I search the Marshall Islands company register?
There is no open public search of the Marshall Islands company register. You ask the registered agent, the Trust Company of the Marshall Islands, for a certificate of good standing or a certificate of incumbency.
- Who is the registered agent for a Marshall Islands company?
The Trust Company of the Marshall Islands acts as registered agent. It has to accept the appointment before a company is formed or moved in, and we arrange that.
- How do I change the registered agent of a Marshall Islands company?
You move its administration to a new agent. It stays the same company, with the same name and company number.
- How long does it take to form a Marshall Islands company?
Days, not weeks. There are five steps: the enquiry, due diligence, the filing, then the registers and the compliance calendar.
- Can a BVI company move to the Marshall Islands?
Yes. Section 184 of the BVI Business Companies Act lets a company in good standing continue under another jurisdiction’s law, and it keeps its name and its original date of incorporation.
- What is redomiciliation?
Moving a company’s legal home without forming a new company. It keeps its name and its history and continues under the new law from the day of filing.
Stuck positions
- What is opportunistic investing?
Buying when an asset’s price has moved well away from what it’s worth, because of forced selling, a rule change, or a structure too complicated for most buyers. It pays investors who are patient and clear about the downside.
- What is a one dollar buy-out of a fund position?
When a position is worth nothing, we buy it from you for a dollar so you can book the loss. We don’t give tax advice, so speak to your tax adviser about how the loss is treated.
- How do I sell an LP interest in a private fund?
We approach the fund’s manager and run the secondary sale for them. Old LP interests are one of the stuck positions we work out.
Selling a business
- How do I sell my business confidentially?
Through our Deal Network. The business goes up under a codename, and buyers sign an NDA before they see the name, the accounts or the documents.
