Marshall Islands companies

What documents do I need to move a BVI company to the Marshall Islands?

To move a BVI company to the Marshall Islands, you need the company's name, number and incorporation date, a certified copy of its memorandum and articles with every amendment, a recent certificate of good standing, identity and address documents for each director, officer, shareholder and beneficial owner holding more than 25%, details of any unreleased charge, and signatures on the resolution and the Marshall Islands Articles.

Your BVI agent can supply the certified copy of the memorandum and articles. We instruct that agent and run the timetable, so you don't need to manage the BVI exit steps yourself.

We draft the Articles of Domestication, the new Articles of Incorporation and the resolution as part of the process. Those get filed with the Marshall Islands registry once signed.

If there's a charge over the company that hasn't been released, we need the details. The move can still go ahead if the chargee consented, didn't object, or if the move doesn't prejudice it.
